			==A little bit of History==


			Precontractual representations renders contract unfair

			The Industrial Relations Commission of New South Wales has the power under s106 to declare void or vary unfair employment contracts entered into as a result of misrepresentations made by employers and recruitment agencies during pre-contractual negotiations.

			Recruitment consultants must take care when making representations about the prospective employer to candidates who will be employed or otherwise engaged in New South Wales or whose work will have some connection with New South Wales. Failure to do so carries with it the risk that the employment contract between the employer and the candidate entered into as a result of any misrepresentations made by the recruitment consultant will be held to be unfair.

			In the recent case of Keycorp Limited v Michael Thomes [2004] NSWIRComm 376, it was held that an employment contract was unfair on the basis of precontractual misrepresentations which induced the candidate to enter into the contract.

			Mr Thomes was employed as the Managing Director for Lucent Technologies prior to being headhunted by recruitment firm Korn Ferry on behalf of Keycorp Limited. In June 1999, Mr Thomes was contacted by Korn Ferry who invited him to apply for the position of Chief Executive Officer of Keycorp. Mr Thomes commenced employment as Chief Executive Officer with Keycorp in November 1999 following an interview process in which a number of representations as to Keycorp including its financial position, operations and trustworthiness were made by Korn Ferry and a director of Keycorp. Mr Thomes' package with Keycorp provided for a base salary of $400,000 and an incentive component of up to $400,000 which was to be negotiated in good faith at later date. However, Mr Thomes was forced to leave his employment with Keycorp in August 2001 following a failure by Keycorp to resolve issues relating to the negotiation of Mr Thomes' remuneration entitlements.

			Mr Thomes commenced proceedings against Keycorp alleging that he gave up secure and well remunerated employment to accept employment with Keycorp on the basis of misrepresentations that were deceptive and misleading. '''Mr Thomes spent most of his time attempting to ensure Keycorp's survival rather than its expansion.''' He argued that this unfairly affected his capacity to earn his expected income giving rise to unfairness within the unfair contract provisions.

			The Commission found that during the course of pre-employment negotiations a number of misrepresentations were made by directors of KeyCorp and its agent Korn Ferry for the purpose of inducing Mr Thomes to leave highly paid secure employment to take up employment with Keycorp.

			Mr Thomes was awarded 18 months pay and most of his bonus totalling about $1.55 million. The Full Bench of the Industrial Relations Commission of New South Wales upheld the ruling although the severance pay was reduced.

			There have now been a number of similar cases which commenced with the landmark decision of the Federal Court in 2002 in O'Neill v Medical Benefits Fund in which it was held that certain representations made by an employer and by a recruitment agency on behalf of the employer amounted to misleading and deceptive conduct under the Trade Practices Act 1974 (Cth).
